These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and AdvisorAssist LLC, a Utah limited liability company ("AdvisorAssist," "we," "us," or "our"), governing your access to and use of the AdvisorAssist platform, including the desktop application, website, APIs, and related services (collectively, the "Service").
By creating an account, activating a license key, or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
AdvisorAssist is an AI-powered advisor acceleration platform designed for AppDirect channel partners. The Service provides AI-assisted workflows for sales, account management, and customer support, including account intelligence, outreach automation, and tech stack analysis. The Service is provided as a desktop application with optional cloud-hosted AI capabilities.
Account Registration. You must create an account using a valid Google or GitHub identity. You are responsible for maintaining the confidentiality of your account credentials.
License Keys. Access to the desktop application requires a valid license key. Each license key is bound to a specific machine upon activation. You may deactivate and reactivate on a different machine, subject to your plan's seat limits.
Trial. We offer a 14-day free trial limited to one trial per machine. Trial access includes limited features as described on our pricing page. At the end of the trial period, continued use of the Service requires an active paid subscription.
Seat Limits. Your subscription includes a specified number of seats. Each seat represents one machine binding. You may not exceed your allotted seats without purchasing additional capacity.
Pricing. Subscription fees are as listed on our pricing page at the time of purchase. We reserve the right to change pricing with 30 days' written notice.
Billing. Payments are processed through Stripe. Monthly subscriptions are billed on a recurring monthly basis. Annual subscriptions are billed annually in advance.
GCP Infrastructure Costs. For Subscription tier customers, Google Cloud Platform compute costs for the cloud AI agent are metered separately and passed through at-cost. You may set monthly budget limits, and your cloud project will auto-pause upon reaching your budget threshold.
Cancellation. Monthly subscriptions may be cancelled at any time and will remain active through the end of the current billing period. Annual subscriptions are non-refundable and remain active through the end of the annual term.
Refunds. Refunds for monthly subscriptions are available within 7 days of the initial purchase only. No refunds are provided for annual subscriptions, partial months, or GCP infrastructure costs.

Strict Prohibition
You may not, under any circumstances, reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive the source code, algorithms, data structures, or underlying ideas of the Service or any component thereof. This prohibition applies regardless of purpose, including but not limited to interoperability, security research, competitive analysis, or any other reason.
Consequences. Any attempt to reverse engineer, compromise, or circumvent the Service will result in immediate termination of your account and revocation of all license keys, without notice. If you are on an annual subscription, you will remain liable for the full remaining balance of your contract with no refund of any amounts already paid or owing. AdvisorAssist further reserves the right to pursue all available legal remedies.
Our Property. The Service, including all software, algorithms, AI models, user interfaces, designs, documentation, and trademarks, is and remains the exclusive property of AdvisorAssist LLC. Nothing in these Terms grants you any ownership interest in the Service.
Your Data. You retain all rights to data you input into or generate through the Service ("Customer Data"). You grant AdvisorAssist a limited license to process Customer Data solely to provide the Service to you. We do not use Customer Data to train AI models or for any purpose other than delivering the Service.
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.
The Service integrates with third-party platforms including AppDirect, Google Cloud Platform, Google Generative AI (Gemini), and Stripe. Your use of these services is subject to their respective terms and privacy policies. AdvisorAssist is not responsible for the availability, accuracy, or practices of third-party services.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADVISORASSIST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO ADVISORASSIST IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
THE SERVICE PROVIDES AI-GENERATED CONTENT AND SUGGESTIONS. AI OUTPUT MAY CONTAIN ERRORS OR INACCURACIES. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING ALL AI-GENERATED CONTENT BEFORE RELYING ON IT OR SHARING IT WITH THIRD PARTIES.
You agree to indemnify, defend, and hold harmless AdvisorAssist LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
By You. You may terminate your account at any time by cancelling your subscription through your dashboard and ceasing use of the Service.
By Us. We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or any other reason with reasonable notice, except in cases of Section 6 violations, which result in immediate termination without notice.
Effect of Termination. Upon termination, your license keys will be revoked and your access to the Service will cease. Data stored locally on your machine remains under your control. Data stored on our servers (account information, license records) will be retained for a reasonable period for legal and operational purposes, after which it will be deleted.
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Salt Lake County, Utah.
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
